Abstract

The essay analyses the different types of limited companies introduced in Italian law by the statutes issued after the 2003 company law reform. The article deals especially with the following aspects of «innovative start-ups», «innovative SME» and «limited companies SME»: share capital, shares, classes of shares, securities and equity crowdfunding. With regard to these matters the essay is based on the idea that it is necessary not only to interpret the new statutes, but also to evaluate whether they are correct and convenient. The essay will furthermore sustain that many appropriate ideas have been written inappropriately and that it is necessary to change the wording of the statutes in order to make them consistent and effective.
