Abstract

The paper is based on the keynote speech delivered at the conference on "Board Nomination and Election in Italy: Recent Trends and the Way Ahead", organized by Assonime and OECD and held in Milan on July 13th, 2016. It examines and discusses the history, possible developments, and limitations of the governance of Italian listed companies with respect to the election of directors. The analysis suggests that the Italian model has become too rigid and complex. It also offers a modest proposal to simplify and improve the existing rules.
